Acceptance of Terms
By accessing this website or engaging Auric Den for consulting services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
If you do not agree with any part of these terms, please do not use this website or proceed with an engagement. These terms apply in addition to any specific agreement or engagement letter entered into separately between Auric Den and a client.
Section 02
Services Offered
Auric Den offers risk management consulting services to organisations in Malaysia and, where agreed, to international clients. Our current engagements include:
- Risk Landscape Review — an examination of the risk picture facing your organisation, delivered as a written review after conversations with key stakeholders
- Risk Framework Advisory — tailored support for organisations building or revising internal risk frameworks, delivered over five to seven weeks
- Incident Reflection Session — a single three-hour session for leaders wishing to draw considered lessons from a recent incident, followed by a written note
The scope and deliverables of each engagement are set out in a separate engagement letter or service confirmation issued prior to commencement of work. In the event of any conflict between these terms and the engagement letter, the engagement letter shall prevail.
Section 03
Engagement Terms
An engagement commences when both parties have agreed to its scope and Auric Den has issued a written confirmation. We reserve the right to decline any engagement at our discretion, including where a conflict of interest may exist.
Client responsibilities
- Providing accurate and complete information relevant to the engagement
- Making appropriate personnel available for interviews and working sessions
- Reviewing and responding to draft materials within agreed timeframes
- Nominating a primary point of contact for the engagement
Timelines
Estimated timeframes are set out in the engagement letter and are provided in good faith. Where delays arise from client availability, information access, or other factors outside Auric Den's control, timelines may be adjusted accordingly. We will communicate any material changes with reasonable notice.
Cancellation
Either party may terminate an engagement by providing written notice. Where Auric Den has commenced work, fees for work completed to the point of termination will be due and payable. The applicable terms are set out in the engagement letter.
Section 04
Fees & Payment
Fees for each engagement are agreed in advance and confirmed in writing. All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of applicable taxes unless stated otherwise.
- Invoices are issued in accordance with the payment schedule set out in the engagement letter
- Payment is due within 14 days of invoice date unless otherwise agreed
- Late payments may incur a charge at a rate communicated in the engagement letter
- Out-of-pocket expenses reasonably incurred in the course of an engagement will be billed at cost with supporting documentation
Where an engagement does not proceed after an initial conversation, no fee is charged for that conversation.
Section 05
Intellectual Property
Upon full payment of the agreed fees, the client organisation receives a licence to use the specific deliverables produced in the course of their engagement for their own internal organisational purposes.
Auric Den retains ownership of the methodologies, frameworks, approaches, and underlying intellectual property used in or developed during the course of any engagement. This includes any templates, processes, or general models not created specifically for the client.
Neither party may reproduce or share the engagement outputs publicly without the prior written consent of the other party, except as required by law or regulatory obligation.
All content on this website — including text, design, and structural elements — is the property of Auric Den and may not be reproduced without permission.
Section 06
Confidentiality
Auric Den treats all client information — including organisational details, incident records, personnel matters, and strategic information — with the utmost discretion. Information shared in the course of an engagement is used solely for the purposes of that engagement and is not disclosed to third parties except as required by law or with explicit client consent.
We expect clients to treat Auric Den's proprietary materials, pricing, and internal processes with equivalent care.
Confidentiality obligations survive the conclusion of an engagement and remain in effect for a period of five years unless a longer period is specified in the engagement letter.
Section 07
Limitation of Liability
Auric Den's consulting outputs represent considered professional opinion and are intended to inform organisational decision-making. They do not constitute legal, financial, or regulatory advice. Clients are responsible for the decisions they make in response to any recommendations or observations provided.
To the extent permitted by law, Auric Den's liability in connection with any engagement is limited to the fees paid by the client for that specific engagement. We shall not be liable for indirect, consequential, or incidental losses of any kind.
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded or limited under Malaysian law.

Website Use
This website is provided for informational purposes. We make reasonable efforts to keep the content accurate and up to date, but we do not warrant that it is free from error or that it will always be available without interruption.
- You may not use this website for any unlawful purpose or in a manner that could harm Auric Den or third parties
- You may not attempt to gain unauthorised access to any part of the website or its underlying systems
- Links to third-party websites are provided for convenience; we are not responsible for the content or practices of those sites
Section 09
Changes to These Terms
We may revise these Terms and Conditions from time to time. Revisions will be published on this page with an updated date. For ongoing engagements, the terms in place at the time of engagement commencement shall apply unless both parties agree otherwise in writing.
Continued use of the website after a revision constitutes acceptance of the updated terms.
Section 10
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising in connection with these terms or the services provided by Auric Den shall be subject to the exclusive jurisdiction of the courts of Malaysia.
